They Will Pay ("we," "us," or "our") operates a free legal directory service through the website they-will-pay.com (the "Site"). Our Service connects individuals seeking legal assistance ("Users") with independent attorneys ("Attorneys") in our network.

They Will Pay is not a law firm and does not provide legal services, legal advice, or legal representation.

By accessing or using the Site, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site.

2. No Attorney-Client Relationship

Your use of the Site and submission of information through the Service does not create an attorney-client relationship between you and They Will Pay. An attorney-client relationship is only formed when you and an Attorney mutually agree to such a relationship, typically through a signed engagement letter or retainer agreement. We are not a party to any such relationship.

Any information you submit through the Site is not protected by attorney-client privilege with respect to They Will Pay.

3. User Obligations

By using the Service, you agree to:

• Provide accurate, truthful, and complete information when submitting a lead form.
• Be at least 18 years of age or have the consent of a parent or legal guardian.
• Not use the Service for any unlawful purpose or in violation of these Terms.
• Not submit false, misleading, or fraudulent information.
• Not interfere with or disrupt the operation of the Site or Service.
• Not attempt to access accounts, systems, or data not intended for you.

4. Lead Submission Terms

When you submit a lead form, you consent to the following:

• The information you provide (name, email, phone, city, practice area, urgency, and description) will be shared with one or more Attorneys in our network who we determine may be a suitable match.
• You may be contacted by matched Attorneys via email, phone, or other means based on the contact information you provide.
• We do not guarantee that any Attorney will accept your case, respond to your inquiry, or that the referral will result in legal representation.
• You are not obligated to retain any Attorney referred through our Service.
• Submission of a lead form does not guarantee any particular outcome for your legal matter.

5. Attorney Terms

Attorneys participating in the They Will Pay network acknowledge and agree to the following:

• Attorneys are independent professionals and are not employees, agents, or representatives of They Will Pay.
• We do not endorse, recommend, or guarantee any Attorney in our network.
• Attorneys are solely responsible for their own conduct, competence, licensing, and compliance with applicable rules of professional responsibility.
• Attorneys must handle all lead information in compliance with applicable privacy laws and ethical obligations.
• We reserve the right to remove any Attorney from our network at any time, for any reason, without notice.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THEY WILL PAY, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICE, INCLUDING BUT NOT LIMITED TO:

• Any actions, omissions, or conduct of any Attorney referred through the Service.
• The quality, legality, or outcome of any legal services provided by an Attorney.
• Loss of data, revenue, profits, or other intangible losses.
• Any unauthorized access to or alteration of your data or transmissions.

THE SITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Indemnification

You agree to indemnify, defend, and hold harmless They Will Pay and its owners, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or Service, your violation of these Terms, or your violation of any rights of a third party.

8. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall first be attempted to be resolved through informal negotiation by contacting us at [email protected].

If informal resolution is unsuccessful within thirty (30) days, either party may pursue binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the state where They Will Pay is headquartered. Each party shall bear its own costs and fees.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

9. Intellectual Property

All content on the Site, including text, graphics, logos, and software, is the property of They Will Pay or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.

10. Modifications to Terms
